1. Who is "GWL"?

GWL is an abbreviation for "Gee Whiz Labs, Inc.", which is the company that develops and operates KeepandShare. We are a California corporation in good standing. KeepandShare is our only business. We just have a different names for our company and our product. Kind of like when the company Proctor & Gamble sells the product Tide. Except GWL is friendlier than P&G and KeepandShare is more powerful than Tide.

2. What is the broad "license" to GWL for?

This is a common question users have when they read section "2. User Submissions" in our Terms of Service and they see these sentences:

"... As between GWL and you, you own all rights to your User Submissions. However, you grant to GWL and GWL's affiliates, representatives, and assigns an irrevocable, perpetual, non-exclusive, fully-paid, world-wide, license (sublicensable through multiple tiers) to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform, and publicly display your User Submissions (in whole or in part) in any format or medium now known or later developed; ...provided, however, that the exercise by GWL of its rights under the foregoing license shall at all times be subject to the limitations upon disclosure of your User Submissions imposed upon GWL under the KeepAndShare Network Privacy Policy.... (bold for emphasis only)

No one has questions about the first sentence, which clearly states that you own all rights to your User Submissions.

However, some people worry the second sentence that begins "However" seems to say GWL can do anything it likes with your information. No, that is not the case. For us to show your information to you or to others (when you share it with others), we need a legal license from you giving us permission to display the information. That's all this sentence is for - to give us the legal right to show your information to you, and to others with whom you have shared it. Note that the final part of the sentence that begins with "provided, however..." completely restricts the license you grant us so the license is "at all times" subject to the Privacy Policy.

In the Privacy Policy you will find clear language that only allows us to ever use or show your information to others when you have asked us to share it with others:

1. Section 3)a):  "...we will never sell, share, rent, or trade your ... Information ... with any third party except as disclosed within this privacy policy."
2. Section 3)e):  "We may share your User Information with your Friends, however we will implement the settings you select with respect to how such information is shared (e.g., providing access, but not editing rights, to documents). In no event, however, will we share any of your User Information that you identify as private."
